Terms of Service
Effective date: 2026-06-01
These terms govern your use of the Software. By installing or running the Software you agree to them. If you do not agree, do not install or use the Software.
1. License grant
The Vendor grants you a non-exclusive, non-transferable license to install and use the Software on machines you own or control, subject to the limits of the tier you purchased.
- Trial: Free use limited to 60 minutes of source video processing and up to 15 exported clips. No expiry, but no further exports beyond the limit.
- Starter: Use limited to 60 minutes of source video per calendar month, measured in UTC, reset on the 1st of each month.
- Pro: Use is unlimited in source duration. You provide your own API key for any third-party language model service used by the Software.
- Lifetime: Same scope as Pro, paid once. No recurring fee. Includes updates for the major version stream you purchased (e.g. all 0.x releases). Future major versions (1.x and beyond) may be a separate purchase.
A single license key is for personal use on the machines you control. Teams should buy one license per seat.
2. What you may not do
- You may not redistribute, resell, sublicense, or publish the Software or its license keys.
- You may not reverse engineer, decompile, or modify the Software except where local law expressly permits.
- You may not use the Software to process content you do not own or do not have permission to clip.
- You may not use the Software in any manner that violates applicable law in your jurisdiction, including copyright law, defamation law, or data protection law.
3. Third-party services
The Software can optionally make outbound requests to the AI provider you select when LLM scoring is enabled. You are responsible for your own API keys, usage charges, and compliance with that provider's terms.
The Software fetches the Whisper model from a third-party model host on first run. After the model is cached locally, no further model fetches are required for normal operation.
4. Updates
Software updates are delivered manually. You can choose whether to upgrade. The Vendor may publish security updates that are recommended but not forced.
5. Refunds
Refunds are governed by the refund policy in refunds.html, which is incorporated by reference. The short version: 14 days, no questions, full refund.
6. Warranty disclaimer
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Vendor does not warrant that the Software will be uninterrupted, error-free, or that any specific yield or clip-quality outcome will be achieved.
7. Limitation of liability
To the maximum extent permitted by law, the Vendor's total cumulative liability for any claim arising from or related to the Software is limited to the amount you paid for the Software in the 12 months preceding the claim. The Vendor is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
8. Termination
The Vendor may terminate this license if you materially breach these terms. You may stop using the Software at any time by uninstalling it. Termination does not entitle you to a refund outside the refund policy window.
9. Governing law
These terms are governed by the laws of the United States of America and the State of New York, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in New York County, New York.
10. Changes
The Vendor may update these terms. Material changes will be announced on the product website at least 30 days before they take effect. Continued use of the Software after the effective date of a change constitutes acceptance.
