Terms of Service

These terms govern your use of the Software. By installing or running the Software you agree to them. If you do not agree, do not install or use the Software.

ClipForge licenses are currently sold through Gumroad. For purchases completed through Gumroad checkout, Gumroad acts as the merchant of record, processes the payment and applicable transaction taxes, provides receipts, and administers refund and chargeback processes under Gumroad's terms. The Vendor remains the Software supplier and licensor, publishes the voluntary refund policy, may need to respond to transaction disputes, and provides product support. Gumroad's buyer terms govern the purchase transaction; these terms govern the Software license and use. Nothing in these terms limits consumer rights that cannot legally be waived.

1. License grant

The Vendor grants you a non-exclusive, non-transferable license to install and use the Software on machines you own or control, subject to the limits of the tier you purchased.

A single license key is for personal use on the machines you control. Teams should buy one license per seat.

3. Third-party services

The Software can optionally make outbound requests to OpenAI, Anthropic, Google Gemini, or a custom endpoint when LLM scoring is enabled on the Pro tier. You are responsible for your own API keys, your own usage charges from those services, and your own compliance with their terms.

The Software fetches the Whisper model from a third-party model host on first use. If speaker labeling is enabled, it also downloads the required PyAnnote and WavLM model files. After each model is cached locally, no further fetch is required for normal use of that model.

4. Updates

Software updates are delivered manually. You can choose whether to upgrade. The Vendor may publish security updates that are recommended but not forced.

5. Refunds

Refunds are governed by the refund policy in refunds.html, which is incorporated by reference. ClipForge voluntarily offers a full refund of an original purchase requested within 14 days. Gumroad provides the refund-processing infrastructure and may exercise rights or duties under its own terms. Nothing in this policy limits mandatory consumer rights.

6. Warranty disclaimer

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Vendor does not warrant that the Software will be uninterrupted, error-free, or that any specific yield or clip-quality outcome will be achieved.

7. Limitation of liability

To the maximum extent permitted by law, the Vendor's total cumulative liability for any claim arising from or related to the Software is limited to the amount you paid for the Software in the 12 months preceding the claim. The Vendor is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

8. Termination

The Vendor may terminate this license if you materially breach these terms. You may stop using the Software at any time by uninstalling it. Termination does not entitle you to a refund outside the refund policy window.

9. Governing law

Except where mandatory consumer law provides otherwise, these terms are governed by the laws of the United States of America and the State of North Carolina, without regard to conflict-of-law principles. To the extent legally permitted, disputes concerning the Software license will be resolved in state or federal courts located in North Carolina. This clause does not remove any right to bring a claim in another forum when applicable law requires that forum to remain available.

10. Changes

The Vendor may update these terms. Material changes will be announced on the product website at least 30 days before they take effect. Continued use of the Software after the effective date of a change constitutes acceptance.

11. Open-source components and FFmpeg notice

ClipForge includes separately licensed open-source components. Their license texts and notices ship with the app.

ClipForge distributes ffmpeg-n8.1.2-31-g8c9502e9b0-win64-lgpl-shared-8.1 under GNU LGPL version 3. Its executables and shared DLLs are separate, replaceable files. Recipients must receive no-charge access to complete corresponding source and retained build materials beside the executable download. Email jgarci.lugo+clipforge@gmail.com if that source access is missing.

Build references include the BtbN release, build scripts, and upstream FFmpeg revision 8c9502e9b0. The complete corresponding-source bundle is publicly downloadable without a ClipForge purchase (2,036,314,253 bytes; SHA-256 9D72F4E08759B0CC2ABFB078BB0220096FB29A7587CB67654A86C31C73D86CD7). FFmpeg remains separately licensed; ClipForge's proprietary restrictions do not limit LGPL rights.

The packaged licenses/FFmpeg-SOURCE-OFFER.txt file identifies every replaceable runtime file and provides installation steps for using an interface-compatible modified LGPL build.
